On the morning of the game at Stevenage on 25 March, he was in communication with a Stevenage player and spoke about boss Liam Daish's likely tactics.
Protheroe admitted this - and although Fleet recognised the Stevenage player was a friend of his, they decided his actions constituted gross misconduct.
The matter has now been passed on to the FA and the Conference.

Altrincham v Gravesend Altrincham's hopes of avoiding the drop could be given a boost by the return of Eddie Hussin and Richard Norris.
The midfield duo have not played all season after knee and ligament injuries but played for the reserves this week. However, skipper Mark Maddox is banned.
Gravesend's injury problems go on with Bobby Bowry (knee) and Jay Saunders (back) now in the treatment room.
Steve McKimm and Daniel Glozier are banned, with Mark Rawle (hamstring) and Andy Drury (toe) still not fit to play.

Altrincham 2-2 Gravesend Bradley Johnson netted from the penalty spot just a minute from the end of normal time to earn Gravesend a point.
Altrincham took a 19th-minute lead with a left-footed shot from Ged Murphy and quickly made it 2-0 when Colin Little fired home a great goal from 25 yards.
But Gravesend gave themselves hope by halving the deficit via a James Smith header just after the half-hour mark.
Johnson then levelled matters to halt Altrincham's hopes of climbing eight points clear of the drop zone.

Southport 1-0 Gravesend Steve Daly kept alive Southport's hopes of beating the drop as he struck the decisive 15th-minute goal.
Daly scored when he collected the ball at the edge of the penalty area and drove it low and hard past Gravesend goalkeeper Aaron Kerr.
The visitors suffered a blow shortly before half-time when Kerr was carried off injured.
But Gravesend's Luke Moore and Bradley Johnson squandered chances to equalise in the second half.

Gravesend 2-0 Woking Bradley Johnson and Luke Moore sealed Gravesend's victory in a match that saw both sides reduced to 10 men early on.
The game exploded into life after 12 minutes when Gravesend's Paul McCarthy and Woking's Steve Ferguson were dismissed after a violent clash.
Woking then had keeper Schwan Jalal to thank for keeping the scores level with saves from Moore and Ross Graham-Smith.
But Bradley Johnson drilled home the opener just before half time and Moore struck from 12 yards to secure the win.

Morecambe v Gravesend Morecambe manager Sammy McIlroy has no fresh injury concerns ahead of Saturday's clash with Gravesend.
John Hardiker (back) is still out but David Perkins, Adriano Rigoglioso and Stuart Barlow are all hoping to make the starting line-up.

It was men against boys - Daish Gravesend & Northfleet boss Liam Daish was left disappointed after they were beaten 3-0 at Morecambe.
"We looked okay for the first 15 minutes, then their physical presence told, and it was a little bit like men against boys," Daish admitted.
"It was a hard place to come to as they're a good side, Wayne Curtis is a good player, and we knew Danny Carlton had scored five in the last six.
"He was the danger - the third goal was a mile offside, but it's gone now."

Morecambe 3-0 Gravesend Morecambe eased past Gravesend to stay on course for the Conference play-offs.
Wayne Curtis put them ahead after 15 minutes when he converted Jim Bentley's header from close range.
Danny Carlton added the second six minutes before the break with a low shot after good work out wide by Michael Howard to create the chance.
Carlton grabbed his second goal of the game within a minute of the re-start with another drilled effort after Fraser McLachlan played him in.

Fleet manager left to rue defeat Gravesend & Northfleet boss Liam Daish feels a two-minute spell cost his side as they were beaten 2-0 at Halifax.
"I had players out there that weren't properly fit, but we've had that for the last two months, I'm getting used to it," Daish told Sir Stanley.
"It was always going to be tough to come here, but we had them on the back foot and their keeper was superb.
"If Luke Moore's chance had stayed under the bar instead of hitting it, it would have been completely different."
The result ends Fleet's chances of qualifying for next season's Football League Trophy.

Kilcullen resigns as Fleet chief Gravesend and Northfleet are looking for a new chairman after Brian Kilcullen stood down but will still be involved with the club.
He resigned at the weekend after six years at the helm.
Kilcullen told Sir Stanley: "As a director and major shareholder I will still be actively involved.
"I feel my time is best spent working on the financing of the club and the new stadium without the many other tasks that come with being chairman."

Gravesend 0-1 Burton Kris Taylor's first-half goal claimed the points for Burton as Nigel Clough's side signed off the season in style.
Taylor netted after 36 minutes with a left-footed free-kick which sailed into the top right-hand corner of the net.
The away side dominated the first half and Jon Shaw had a chance early on, but he struck the ball past the post.
Jay Saunders had Gravesend's best chances, hitting the bar with a header in the first half and going close again with two attempts late on.

Striker Moore handed Fleet deal Gravesend and Northfleet have rewarded young striker Luke Moore with a one-year full-time contract.
Moore has impressed throughout the season and the club have exercised their option to give him a deal.
The 18-year-old is one of the youngest players ever to play for Fleet in a Conference match when he made his debut in the 2004/05 season.
Moore progressed through the programme for Academic and Sporting Excellence which is run at non-league clubs.

Slatter agrees new Fleet contract Gravesend and Northfleet midfielder Danny Slatter has agreed a new 12-month deal at Stonebridge Road.
Slatter, 25, joined Fleet last summer and despite a period of illness started 37 Conference games this season.
"I am sure that with a good pre-season under his belt he will be an even better player next season," manager Liam Daish told his club's website.

Five more players leave Gravesend Gravesend and Northfleet have completed a major clear-out at Stonebridge Road by releasing five more players.
Aaron Kerr, Ashley Fuller, Danny Glozier, Scott Gooding and long-serving Jimmy Jackson, who can not commit to daytime training, have been released.
"These are difficult times at the club but we are in a major transitional period," acting chairman Jason Botley told Fleet's website.
"We've invested in the process of going full-time and we are committed to it."
